Allgemeine Geschäftsbedingungen der V&V Immobilien GmbH
1. Geltung der Allgemeinen Geschäftsbedingungen
Die V&V Immobilien GmbH schließt Maklerverträge ausschließlich unter Vereinbarung dieser Allgemeinen Geschäftsbedingungen ab
2. Anzuwendendes Recht; Vertragsabschluss; Erfüllungsort
1. Für sämtliche Rechtsgeschäfte gilt deutsches Recht als vereinbart.
2. Neben den schriftlich niedergelegten Vertragsbestimmungen sind bei Vertragsabschluss keine weiteren Abreden zwischen den Parteien getroffen worden.
3. Erfüllungsort für die von der V&V Immobilien GmbH zu erbringenden vertraglichen Leistungen ist - soweit nicht anders vereinbart - Frankfurt am Main.
4. Die V&V Immobilien GmbH ist berechtigt, Dritte zur Erfüllung der ihr obliegenden vertraglichen Verpflichtungen zu beauftragen.
3. Vertragsgegenstand
1. Die V&V Immobilien GmbH erbringt ihre Nachweise von Vertragsabschlussgelegenheiten und Vermittlungsleistungen aufgrund von Informationen Dritter. Obwohl sich die V&V Immobilien GmbH um möglichst vollständig und zutreffende Angaben von Objekten und Vertragspartnern bemüht, kann eine Haftung für die Richtigkeit und Vollständigkeit der dem Auftraggeber zur Verfügung gestellten Informationen nur im Falle von Vorsatz und grober Fahrlässigkeit übernommen werden. Im Falle von Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit, wird auch bei Fahrlässigkeit gehaftet.
2. Die Angebote der V&V Immobilien GmbH sind freibleibend und unverbindlich, Zwischenverkauf, -vermietung und -verpachtung bleiben vorbehalten.
3. Neben Maklerleistungen erbringt die V&V Immobilien GmbH auf Grundlage dieser Allgemeinen Geschäftsbedingungen auch sonstige Dienstleistungen. Diese Dienstleistungen werden einzelvertraglich geregelt und gesondert berechnet.
4. Entstehen und Fälligkeit des Provisionsanspruches
1. Der Provisionsanspruch der V&V Immobilien GmbH wird fällig, sobald aufgrund ihres Nachweises oder ihrer Vermittlung ein Hauptvertrag abgeschlossen ist. Für die Entstehung des Provisionsanspruches ist nicht erforderlich, dass die Tätigkeit der V&V Immobilien GmbH die einzige Ursache für den Abschluss des Hauptvertrages ist; es genügt vielmehr Mitursächlichkeit.
2. Der Provisionsanspruch der V&V Immobilien GmbH bleibt auch dann bestehen, wenn der bereits abgeschlossene Hauptvertrag nachträglich einvernehmlich von den Vertragspartnern aufgehoben wird.
3. Der Provisionsanspruch entsteht auch, wenn ein von dem ursprünglich von der V&V Immobilien GmbH nachgewiesenes oder vermitteltes Geschäft abweichender, wirtschaftlich jedoch gleichwertiger Hauptvertrag abgeschlossen ist. Wirtschaftlich gleichwertig ist ein Vertrag insbesondere dann, wenn der Hauptvertrag mit von dem Angebot der V&V Immobilien GmbH abweichenden Bedingungen
abgeschlossen wird oder wenn ein anderer als der ursprünglich vorgesehene Hauptvertrag zustande kommt, der mit dem angestrebten Geschäft identisch ist oder in seinem wirtschaftlichen Erfolg nur unwesentlich von dem angestrebten Geschäft abweicht.
4. Ein Provisionsanspruch steht uns auch dann zu, wenn im zeitlichen oder wirtschaftlichen Zusammenhang mit dem ersten von uns vermittelten bzw. nachgewiesenen Vertrag weitere vertragliche Vereinbarungen zwischen Ihnen und Ihrem Vertragspartner Zustandekommen, die ihre Grundlage in dem zwischen uns abgeschlossenen Maklervertrag finden.
5. Provision
Zwischen dem Auftraggeber und der V&V Immobilien GmbH werden folgende Provisionssätze für Nachweis und/oder Vermittlungen vereinbart:
1. Kauf
Im Falle eines Objektankaufes oder dem Kauf von Unternehmen bzw. Unternehmensanteilen basiert die zu zahlende Provision auf dem beurkundeten Gesamtkaufpreis sowie aller damit in Verbindung stehenden Nebenleistungen. Die Berechnungsgrößen für die Provision gegenüber dem Käufer lauten wie folgt: Bis zu einem Kaufpreis von € 5,0 Mio. 5%, über € 5,0 Mio. bis € 20,0 Mio. 4% und bei Werten über € 20,0 Mio. 3%. Bei der Ausübung einer vereinbarten Option mehr Flächen zu erwerben, zahlt der Käufer die Provision für die Mehrflächen zum Zeitpunkt der Ausübung in der beschriebenen Höhe.
2. Vermietung und Verpachtung gewerblicher Flächen:
- Für Büro- und Industrieflächen beträgt die Provision 3,0 Nettomonatsmieten bei Verträgen bis zu 5 Jahren.
- Bei Verkaufsflächen beträgt die Provision 3,0 Nettomonatsmieten bei Verträgen bis zu 5 Jahren.
- Die Provisionssätze erhöhen sich um eine Nettomonatsmieten für Mietverträge, die länger als 5 Jahre abgeschlossen worden sind.
- Enthalten die Miet- oder Pachtverträge Optionen für die Verlängerung der Miet- oder Pachtzeit und/oder Vormietrechte, so erhöht sich die Provision jeweils um 0,5 Nettomonatsmieten je Option und Vormietrecht.
- Enthält der Miet- oder Pachtvertrag die Option, zusätzliche Flächen anzumieten bzw. anzupachten, wird die Provision für die zusätzlichen Flächen bei Ausübung der Option gemäß 5.2.1 bis 5.2.4 fällig.
- Vereinbarte mietfreie Zeiten oder sonstige vermieterseitige Zuwendungen sind grundsätzlich für die Provisionsberechnung unbeachtlich. Bei einem Staffelmietpreisvertrag gilt die durchschnittliche Monatsmiete, bezogen auf die Gesamtfestlaufzeit des Vertrages.
- Bei Abstandszahlungen, Ablösungen für Rechte und Ansprüche, Einrichtungsgegenstände, Waren, Kundenstamm usw. entsteht eine zusätzliche Provision in Höhe von 5% (beispielsweise der Abstandszahlung oder des Wertes der Einrichtungsgegenstände).
3. Wohnraumvermietung
Bei der Vermietung von Wohnraum beträgt die Provision 2 Nettomonatsmieten, zahlbar durch den Vermieter.
4. Erbbaurecht
Bei der Bestellung bzw. Übertragung von Erbbaurechten beträgt die Provision 5 % des Vertragswertes, zahlbar durch den Erbbaurechtsnehmer. Ist ein solcher nicht vereinbart, tritt an dessen Stelle nach unserer Wahl entweder der 25-fache Jahreserbbauzins oder der zu errechnende Kapitalbarwert des Erbbaurechtes. Bei der Berechnung des Kapitalbarwertes ist der marktübliche Effektivzinssatz für Hypothekendarlehen mit einer Zinsfestschreibung von 10 Jahren bei 100 % Auszahlung anzusetzen.
5. Vorkaufsrecht
Bei der Vereinbarung von Vorkaufrechten beträgt die Provision 1% des Verkehrswertes des Grundstückes, zahlbar durch den Vorkaufsberechtigten.
Die Provisionen verstehen sich jeweils zuzüglich Mehrwertsteuer in der gesetzlich vorgeschriebenen Höhe.
6. Obliegenheiten des Auftraggebers
1. Gibt der Auftraggeber die von der V&V Immobilien GmbH erhaltenen Informationen über den Nachweis einer Vertragsabschlussgelegenheit an einen Dritten weiter und kommt ein Hauptvertrag mit diesem zustande, so ist der Auftraggeber gegenüber der V&V Immobilien GmbH zur Provisionszahlung verpflichtet. Der Auftraggeber ist gehalten, sämtliche von der V&V Immobilien GmbH erhaltenen Informationen, Angebote etc. vertraulich zu behandeln.
2. Ist dem Auftraggeber die durch uns nachgewiesene Gelegenheit zum Abschluss eines Vertrages bereits bekannt, ist er verpflichtet, dies unverzüglich der V&V Immobilien GmbH mitzuteilen. Andernfalls ist in jedem Fall bei Abschluss eines Vertrages über das nachgewiesene Objekt eine Provision gemäss Punkt 5 zu zahlen.
7. Beauftragung durch Dritte
Die V&V Immobilien GmbH ist berechtigt, auch für den anderen Vertragsteil des Hauptvertrages, entgeltlich oder unentgeltlich tätig zu werden. Die V&V Immobilien GmbH wird in diesem Fall ihre Tätigkeit in unparteiischer und pflichtgemäßer Weise ausüben.
8. Datenschutz
Der Auftraggeber erklärt sich ausdrücklich damit einverstanden, dass die V&V Immobilien GmbH zur Erfüllung dieses Vertrages befugt ist, die notwendigen persönlichen Daten des Auftraggebers zum Zwecke der automatischen Datenverarbeitung zu speichern und zu übermitteln. Der Auftraggeber verzichtet deshalb auf weitere Benachrichtigungen im Sinne des Bundesdatenschutzgesetzes.
9. Schlichtung
Verbraucher können sich zur Beilegung von Streitigkeiten an die folgende Verbraucherschlichtungsstelle wenden:

10. Wirksamkeit der Geschäftsbedingungen
Sollten einzelne Bestimmungen dieser Allgemeinen Geschäftsbedingungen unwirksam oder nichtig sein, so wird davon die Rechtsverbindlichkeit der übrigen Bestimmungen nicht berührt.

Consequences of Revocation In the case of an effective revocation, the services received by both sides must be returned and any benefits received (e.g. interest) reimbursed. If it is not possible to return the service provided in part or in full or if it can only be returned in a deteriorated condition, then it is possible that you will have to provide compensation for loss of value.
